50 KENANGA INVESTMENT BANK BERHAD Non-Executive Directors’ Remuneration Framework The Company aims to set remuneration levels which are sufficient to attract and retain the Directors needed to operate the Company successfully, taking into consideration all relevant factors including the function, workload and responsibilities involved, but without excessively over- paying to achieve its goal. With regard to the level of remuneration of the Group Managing Director (“ GMD ”) and Senior Management personnel, it is determined by the NRC after giving due consideration to compensation levels of comparable positions of other similar companies in Malaysia. CORPORATE GOVERNANCE OVERVIEW STATEMENT The NRC carries out the annual review of the overall remuneration policy for Directors, the GMD and Senior Management whereupon recommendations are submitted to the Board for approval. The NRC also reviews annually the performance of the GMD, Chief Executive Officers of the subsidiaries of the Company, as well as Senior Management and submits recommendations to the Board for approval accordingly.
